PRODUCT USAGE – END-OF-ARM TOOLING 
Innovated Manufacturing’s end-of-arm tooling (“EOAT”) products are designed and manufactured for integration with collaborative robots and related automation systems across a range of industrial, commercial, and research applications. Proper performance and safe operation of EOAT products depend on correct selection, installation, programming, integration, operation, and maintenance.
Improper use, misuse, abuse, alteration, improper installation, operation outside of specified limits, or failure to follow provided documentation, warnings, or instructions may result in property damage, equipment failure, serious bodily injury, or death.

The Customer, integrator, end user, and/or operator assumes full responsibility for:

• Determining the suitability of the EOAT for the intended application

• Ensuring proper system integration, guarding, safety validation, and risk assessment

• Verifying compliance with all applicable local, state, federal, and international laws, regulations, codes, and standards, including but not limited to OSHA, ANSI, RIA, ISO, and IEC standards

• Ensuring all operators and maintenance personnel are properly trained

Innovated Manufacturing does not control the final application, programming, environment, or operating conditions of its products and therefore disclaims responsibility for system-level safety or performance once the product is deployed.

 
PRODUCT USAGE – ALL OTHER PRODUCTS
All other products designed, manufactured, or sold by Innovated Manufacturing, whether existing or future offerings, are intended to be used solely for their designated and documented purposes.
While certain products may be adaptable or multi-purpose in nature, any use outside of documented specifications, recommended operating conditions, or intended applications—including misuse, abuse, improper installation, or unauthorized modification—may result in property damage, equipment failure, serious bodily injury, or death.

The Customer is solely responsible for ensuring that:

• Products are selected and used appropriately for the intended application

• Installation, operation, and maintenance follow all provided instructions

• Use complies with all applicable laws, regulations, and safety standards

Innovated Manufacturing shall not be liable for damages arising from improper or unintended use.

 
WARRANTY
Innovated Manufacturing provides a limited warranty for its end-of-arm tooling products covering defects in materials and workmanship under normal and intended use for a specified period, as defined in the applicable product-specific warranty documentation.

This limited warranty:

• Applies only to the original purchaser

• Is valid only when the product is used, installed, and maintained per provided documentation

• Does not cover normal wear and tear, misuse, abuse, negligence, accidents, or improper installation

All other warranties, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.
 

MODIFICATIONS AND ALTERATIONS
The Customer may choose to physically modify, alter, or adapt products designed or manufactured by Innovated Manufacturing. However, any modification, alteration, or unauthorized repair immediately voids all warranties, expressed or implied.

Innovated Manufacturing:

• Assumes no responsibility for the performance or safety of modified products

• Shall not be liable for any damages, injuries, or losses to persons, machines, robots, facilities, or property arising from such modifications

• Does not certify or approve modified products for continued use

All risks associated with modifications are solely assumed by the Customer.
 

INDEMNIFICATION
By purchasing, installing, integrating, or using any product manufactured or sold by Innovated Manufacturing, the Customer agrees to indemnify, defend, and hold harmless Innovated Manufacturing, its affiliates, officers, employees, agents, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• The Customer’s use or misuse of the product

• Improper installation, integration, programming, or operation

• Failure to comply with applicable laws, regulations, or safety standards

• Modifications or alterations made by the Customer or third parties

• Use of the product in a system or application not approved or documented by Innovated Manufacturing

This obligation survives termination of use and applies regardless of whether the claim arises from negligence, strict liability, or otherwise, to the extent permitted by law.
 

LIMITATION OF LIABILITY
To the maximum extent permitted by law, Innovated Manufacturing shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of production, loss of profits, loss of use, or business interruption, even if advised of the possibility of such damages.
Innovated Manufacturing’s total liability for any claim related to a product shall not exceed the purchase price paid for the product giving rise to the claim.
 

GOVERNING LAW AND JURISDICTION
This disclaimer, and any disputes arising from or related to Innovated Manufacturing products, shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict-of-law principles.
Any legal action or proceeding shall be brought exclusively in the state or federal courts located within the State of Indiana, and the parties consent to such jurisdiction and venue.
